To ensure corporate compliance, all activities of LR Global Holding GmbH and all other companies and subsidiaries of LR adhere to the LR Code of Conduct. This code includes regulations on fair cooperation, equal treatment, integrity in business behaviour, dedication to LR employees and environmental protection.

The Compliance Management System (CMS) ensures that the LR Code of Conduct is implemented, observed and developed further. The Chief Compliance Officer (CCO) and the Regional Compliance Delegates (RCDs) are responsible for the CMS.

Aims and Code of Conduct

LR Health & Beauty aims to always act in compliance with all requirements (legal, regulatory, contractual etc.) in all markets. In addition, potential risks relevant to criminal law are to be actively reduced ā€“ within the company, its management and between employees in all areas of the company.

The requirements stated in the LR Code of Conduct relate to the following topics

  • Team spirit
  • Equal treatment
  • Equal opportunities
  • Confidentiality
  • Fair competition, bribery, corruption, money laundering
  • Data protection Regulations in international business
  • Communication and information systems
  • Protection of the business, property and assets
  • Conflicts of interest
  • Gifts and invitations
  • Health, occupational safety, security, environmental protection

Organisation

The Chief Compliance Officer (CCO) reports directly to LRā€™s CFO / COO. The so-called ā€œRegional Compliance Delegatesā€ (RCD) support the Chief Compliance Officer with regard to the corporate compliance of the LR subsidiaries.

The ā€œCompliance Committeeā€ meets as a permanent council several times a year together with the management in order to address current compliance issues and to initiate necessary adjustments.

Communication

360Ā° communication is a key tool for establishing our compliance culture. Managers routinely take part in training sessions to hone their communication skills, and the management addresses the company on this matter on a regular basis, but LR employees around the world also have the option of reporting suspected compliance breaches anonymously via a whistleblower system. In ambiguous situations (dilemma), employees and managers can involve the Chief Compliance Officer to find a solution. The management is regularly informed about compliance violations and the development of the CMS. In addition, the Advisory Board is provided with an annual risk report.

Monitoring and continual improvement

In collaboration with the management, the Compliance Committee is responsible for the monitoring and continuous optimisation of the LR Compliance Management. This central body is responsible for systematically mitigating the causes of internal compliance violations, regularly reviewing the functionality of the Compliance Management System and continually considering new developments. With this in mind, it is essential to continuously encourage every company member to critically assess their own actions. The Chief Compliance Officer is a member of the Professional Association (Bundesverband) of Compliance Managers and exchanges information on current issues with other compliance managers.
